This Agreement is made and entered into by and between New Reach and you, the client.

1. Services

New Reach agrees to provide services as described on the New Reach website or in presentations.

2. Term

This Agreement shall commence on the Effective Date (as defined below) and shall continue for a period of 6 (6) months (the "Term"). The Term shall continue when agreed upon by both parties. If you are unable to complete the term, or decide you cannot complete the contract in full, there will be a charge for half of the remaining amount owed on the contract.

3. Client Access

Client acknowledges that New Reach may require access to Client's website in order to perform the Services. Client agrees to provide all necessary login credentials to New Reach upon request. New Reach will only request access that is necessary to perform the Services and will use such credentials solely for that purpose.

4. Limitation of Liability

New Reach shall use commercially reasonable efforts to avoid any disruption to Client's website while performing the Services. However, New Reach shall not be held liable for any unintentional website issues that may arise during the course of providing the Services. Client acknowledges that website maintenance inherently carries some risk and agrees to hold New Reach harmless for any such unintentional issues.

UNDER NO CIRCUMSTANCES WILL EITHER PARTY BE LIABLE TO THE OTHER PARTY OR ANY THIRD PARTY FOR ANY DAMAGES RESULTING FROM ANY PART OF THIS AGREEMENT SUCH AS, BUT NOT LIMITED TO, LOSS OF REVENUE OR ANTICIPATED PROFIT OR LOST BUSINESS, COSTS OF DELAY OR FAILURE OF DELIVERY, WHICH ARE NOT RELATED TO OR THE DIRECT RESULT OF A PARTY’S NEGLIGENCE OR BREACH.

5. Effective Date

The "Effective Date" of this Agreement is the date Client clicks "I Agree" on the following signup form.

6. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

7. Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

BY CLICKING "I AGREE", CLIENT ACKNOWLEDGES THAT THEY HAVE READ AND UNDERSTOOD THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
